Terms of Service

1. The agreement

These Terms of Service ("Terms") form a binding agreement between you and Experts InfoTech (Pvt) Ltd. ("Experts", "we", "us"), the provider of the ZonGrow cloud ERP platform ("ZonGrow", "the Service"). By creating an account, clicking "I agree", or using the Service, you accept these Terms.

2. The service

ZonGrow is a cloud-based ERP that helps businesses unify online sales channels, offline / POS outlets, warehouses, and shipping couriers. Features and integrations are described on our Features and Integrations pages. We may add, modify, or remove features over time; if a change materially reduces your service, you'll get 30 days' notice.

3. Your account

  • You must be 18+ and authorized to enter contracts on behalf of your business.
  • You're responsible for activity under your login credentials.
  • Keep your password secure. Enable two-factor authentication.
  • Tell us promptly at info@expertspk.com if you suspect unauthorized access.

4. Plans, fees & payment

  • Fees, plan limits and overage rates are listed on our Pricing page.
  • Subscriptions are billed in advance (monthly or annually) and are non-refundable, except where required by law.
  • We may change prices with 30 days' notice; the change applies to your next renewal.
  • Late payments may suspend the Service after 14 days.
  • All fees are exclusive of taxes; you're responsible for applicable sales/VAT/GST.

5. Acceptable use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable law.
  • Send unsolicited marketing messages (spam) — including through the SMS, WhatsApp, or IVR features.
  • Process orders for prohibited goods (we follow marketplace & courier prohibited-item lists).
  • Attempt to reverse-engineer, copy, or resell the Service.
  • Interfere with the Service or other customers' use of it.
  • Upload malicious code, or attempt to gain unauthorized access.

We may suspend or terminate accounts that violate this section.

6. Your data

You retain all rights to the data you put into ZonGrow. We use it only to provide the Service, as described in our Privacy Policy. You can export your data at any time, in common formats (Excel, CSV, JSON).

You are responsible for the accuracy of the data you upload, including your customers' personal data, and for having the legal right to send them the communications you configure through the Service (e.g. SMS confirmations). You must comply with applicable privacy and anti-spam laws (e.g. GDPR, PECR, Pakistan PECA).

7. Third-party services

ZonGrow integrates with third-party services (couriers, marketplaces, communication providers, payment processors). Their availability, fees, and terms are governed by their own agreements. We're not liable for their acts or omissions, but we'll help you troubleshoot issues where reasonable.

8. Intellectual property

The Service, including its code, design, trademarks, and documentation, is owned by Experts InfoTech (Pvt) Ltd. We grant you a non-exclusive, non-transferable, revocable license to use the Service during your subscription. You grant us a limited license to use your name and logo as a customer reference, which you can revoke in writing at any time.

9. Confidentiality

Both parties agree to keep each other's non-public information confidential, and to use it only to perform under these Terms. This survives termination for 3 years.

10. Warranties & disclaimers

Except as expressly stated, the Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that the results obtained from it will meet your specific requirements.

We aim for 99.9% uptime on the Starter and Growth plans and 99.99% on Enterprise (with SLA credits for Enterprise).

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Each party's total liability arising from or related to the Service will not exceed the fees paid by you to us in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be excluded by law (e.g. death, personal injury, fraud).

12. Indemnification

You will indemnify us against any third-party claim arising from (a) your data, (b) your use of the Service in violation of these Terms, or (c) your violation of any law. We will indemnify you against any third-party claim that the Service, as provided by us, infringes their intellectual-property rights.

13. Termination

  • By you: cancel any time from your account settings; service continues until the end of the paid period.
  • By us: for material breach not cured within 14 days of notice; or immediately for illegal activity or non-payment.
  • Effect: your access ends; we retain data for 30 days for accidental-closure recovery, then permanently delete.

14. Changes to these Terms

We may update these Terms. If a change is material, we'll give you at least 30 days' notice by email and a banner in the dashboard. Continuing to use the Service after the effective date means you accept the new Terms. If you don't, you can cancel before the effective date.

15. Governing law & disputes

These Terms are governed by the laws of Pakistan, without regard to its conflict-of-laws rules. Any dispute will be resolved first through good-faith negotiation. If unresolved within 30 days, the dispute will be referred to arbitration in Faisalabad, Pakistan, in accordance with the Arbitration Act 1940. Nothing prevents either party from seeking injunctive relief in court to protect its intellectual property or confidential information.

If you're a consumer in the UK or EU, you also have the right to bring proceedings in your local courts and to rely on mandatory local consumer-protection laws.

16. General

If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms, together with the Privacy Policy and any order form, are the entire agreement between you and us regarding the Service.
